• "Agreement" — refers to these Terms and Conditions together with any service-specific agreements.

2. Acceptance of Terms

By accessing our website, booking a consultation, or purchasing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms apply to all users of the website and services.

3. Description of Services

StudyDecode provides the following career guidance and academic counseling services:

• Board Selection: Guidance on choosing the right educational board (CBSE, ICSE, State Boards, IGCSE, IB)
• Stream Selection: Guidance on choosing Science, Commerce, or Arts after Class 10
• Class 8-10 Foundation: Building strong academic fundamentals
• JEE/NEET Counseling: Preparation strategies, seat prediction, college selection
• Study Abroad Guidance: SAT, IELTS, TOEFL, university applications, scholarships
• Career Counseling: Psychometric assessment, career mapping, goal setting

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

4. No Guarantee of Admission or Exam Success

Our services are designed to improve your chances by providing expert guidance and personalized support. Our 98% satisfaction rate reflects historical feedback but does not constitute a guarantee of individual results.

5. Student Responsibilities

As a student or parent, you agree to:

• Provide accurate, complete, and truthful information about academic background and goals
• Submit all required documents and information within agreed timelines
• Respond promptly to communications from your assigned counselor
• Review and provide feedback on guidance and materials within the specified timeframe
• Adhere to academic integrity and ethical guidelines
• Pay all fees as agreed upon for the services provided

Failure to meet these responsibilities may result in delays or termination of services without refund.

6. Payment Terms

The following payment terms apply to all services:

• Payment Methods: We accept UPI (Google Pay, PhonePe, Paytm), bank transfer, and credit/debit cards.
• Currency: All payments are in Indian Rupees (INR).
• Advance Payment: 100% advance payment is required before work commences unless otherwise agreed in writing.
• Taxes: Clients are responsible for any applicable taxes, including GST.
• Late Payments: Late payments may result in suspension of services and late fees at 2% per month.
• Disputed Charges: Any disputed charges must be reported within 15 days of the transaction date.

7. Refund Policy

Refunds are governed by our separate Refund Policy. Key points include:

• Full refund available if no work has commenced
• Partial refunds for incomplete work based on percentage completed
• No refund for completed deliverables that meet specifications
• Refund requests must be submitted in writing within 7 days of service delivery

8. Intellectual Property Rights

Client's Intellectual Property: All intellectual property in your original materials remains your exclusive property.

Deliverables: Upon full payment, you receive ownership of the deliverables created specifically for you.

Our IP: Our templates, methodologies, proprietary tools, and website content remain our exclusive intellectual property. You may not reproduce, distribute, or commercially exploit our IP without written consent.

Portfolio Use: We may use anonymized excerpts of our work (with identifying information removed) for portfolio or marketing purposes unless you explicitly opt out in writing.

9. Confidentiality

StudyDecode maintains strict confidentiality regarding all student and parent information:

• Your personal information, academic records, and communication are never shared with third parties
• Only the counselor assigned to your case has access to your information
• You are also bound to keep our methodologies and processes confidential

Exceptions: We may disclose information if required by law or to protect our legal rights.

10. Limitation of Liability

Our total liability to you for any claim arising from these terms or our services shall not exceed the total fees you paid to us in the six months preceding the claim.

We are not responsible for:

• Admission decisions made by educational institutions
• Exam results or scores
• Visa denials or immigration issues
• Delays caused by your failure to provide required information
• Technical issues with third-party platforms

11. Student Conduct

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Submit plagiarized or fraudulent materials
• Misrepresent your academic credentials
• Harass, abuse, or threaten our staff or counselors
• Interfere with or disrupt our website or services

Violation of these conduct rules may result in immediate termination of services without refund.

12. Termination of Services

By You: You may terminate the service agreement at any time. Refunds, if any, will be governed by our Refund Policy.

By Us: We may terminate or suspend your access to services immediately, without notice, for conduct that violates these terms, including:

• Non-payment of fees
• Providing false or misleading information
• Plagiarism or academic dishonesty
• Harassment of our staff

Upon termination, you must pay all outstanding fees, and we will deliver any completed work upon full payment.

13. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law:

• We disclaim all warranties, express or implied
• We do not warrant that our services will meet your specific requirements or expectations
• We do not warrant that the website will be uninterrupted, error-free, or secure

14. Indemnification

You agree to indemnify, defend, and hold harmless StudyDecode, its directors, employees, and counselors from any claims, damages, losses, or expenses arising from:

• Your violation of any applicable laws or regulations
• Your submission of plagiarized or fraudulent materials
• Your violation of third-party rights, including intellectual property rights

15. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution:

• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in Bikaner, Rajasthan, India.
• Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in class actions.
